Skolarli Account Terms

1. You must be 18 years of age or older, or at least the age of majority in the jurisdiction in which you reside or where you use the Services, or have the permission of your parent or guardian.
2. You must provide your full legal name, current address, valid email address, and any other information required to complete the registration process.
3. It is your responsibility to ensure that your registration information is truthful, accurate, and complete.
4. You acknowledge that Skolarli Edulabs Pvt. Ltd. will use the email address you provide as the primary method of communication.
5. You are responsible for the security of your password. Skolarli Edulabs Pvt. Ltd. cannot and will not be liable for any loss or damage resulting from your failure to maintain the security of your account and password.
6. You are responsible for all activities and Content uploaded to your Skolarli account.
7. Material breach of any provision of these Terms of Service, as determined in Skolarli Edulabs Pvt. Ltd.'s reasonable discretion, may result in termination of the Service after a thirty (30) day cure period, except in cases of illegal activity, fraud, or actions that pose immediate harm to Skolarli or other users, which may result in immediate termination.

Activation Of Account

1. A registrant or subscriber to Skolarli Edulabs Pvt. Ltd.'s Services shall be the Account Owner for the purposes of these Terms of Service and shall be the authorized user of any related accounts provided in connection with the Service.
2. If you are signing up for the Services on behalf of your employer, your employer shall be the Account Owner. By signing up on behalf of your employer, you represent and warrant that you have the authority to bind your employer to these Terms of Service.

Terms Of Use

1. The following general conditions apply to your use of the Services:
2. Technical support is only provided to paying Account Owners and is only available via email.
3. You are responsible for the conduct on your Account and the conduct of your Users and customers.
4. You must ensure that you and your customers do not:
   1. use the Services for any illegal or unauthorized purpose nor may you, in your use of the Services, violate any laws in your jurisdiction (including but not limited to copyright laws) as well as the laws of India;
   2. reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services without our express written permission;
   3. misuse the Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions we provide;
   4. purchase search engine or other pay-per-click keywords (such as Google Ads), or domain names that use skolar.li or Skolarli trademarks and/or variations and misspellings thereof;
   5. circumvent or attempt to circumvent any limitations imposed on your account;
   6. probe, scan, or test the vulnerability of any skolar.li system or network, unless we have given you prior written authorization;
   7. decipher, decompile, disassemble, translate, create derivative works, reverse engineer, or otherwise attempt to reconstruct, identify, or discover any source code, algorithms, underlying ideas, or underlying user interface techniques in the Services or any of the software used to provide the Services;
   8. directly or indirectly identify a customer contrary to the terms of any confidentiality notice or other privacy setting;
   9. use the Services to collect or store any sensitive information ("Sensitive Information") including personal health information, banking and credit card information. If you use skolar.li to collect, store, or otherwise process any Sensitive Information, you do so at your own risk and are responsible for ensuring compliance with all applicable laws;
   10. transmit any viruses, malware, or other types of malicious software, or links to such software, through the Services;
   11. use the Services to infringe the intellectual property rights of others, or to commit any unlawful activity;
   12. attempt to circumvent any license, timing, or use restrictions that are built into the Services; or
   13. lend, resell, lease, or sublicense or otherwise use the Services for the benefit of a third party, unless we have given you prior written authorization.

6. You understand that your Content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.
7. If you are on a skolar.li plan with transaction fees and do not have written consent from skolar.li, you agree not to charge people to access your courses other than by collecting payments through the skolar.li Services. Any attempt to bypass the skolar.li payment system to avoid transaction fees may result in the suspension or cancellation of your account.
8. We do not knowingly provide services or sell products to children. If you are below the age of 18, you may use our website or the Services only with the permission and active involvement of a parent or legal guardian. If you are a minor, please do not provide us or other website visitors with any personal information and do not use this website. If we learn we have collected or received personal information from a child under 13 without verification of parental consent, we will delete that information. If you believe we might have any information from or about a child under 13, please contact us at [email protected].

Acceptable Use Policy

1. You will comply with this Acceptable Use Policy. Specifically, you will not:
   1. use or launch any automated system, including "robots," "spiders," or "offline readers," that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional browser;
   2. use the Services in any manner that damages, disables, overburdens, or impairs any of our websites or interferes with any other party's use of the Services;
   3. attempt to gain unauthorized access to the Services;
   4. make the Services available to anyone other than authorized Users;
   5. sell, resell, rent, or lease the Services unless explicitly permitted in the relevant Order Form;
   6. use the Services to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights;
   7. use the Services to store or transmit malicious code;
   8. access the Services other than through the interface provided by us;
   9. create derivative works based on the Services or the Software without explicit authorization;
   10. reverse engineer the Services or the Software or access the Services in order to: (a) build a competitive product or service, or (b) copy any features, functions, or graphics of the Services; or
   11. use the Services for any purpose or in any manner that is unlawful under applicable laws or prohibited under these Terms of Service.

Skolarli Edulabs Pvt. Ltd. Rights

1. We reserve the right to modify or terminate the Services for any reason, with thirty (30) days notice where commercially reasonable.
2. We reserve the right to refuse our Services to anyone for any reason at any time.
3. Skolarli Edulabs Pvt. Ltd. does not pre-screen Content and it is in our sole discretion to refuse or remove any Content that is available via the Services.
4. We may, but have no obligation to, remove Content or suspend an Account Owner's access to the Services if they share or otherwise make available Content containing material that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates any party's intellectual property or these Terms of Service.
5. Verbal or written abuse of any kind (including threats of abuse or retribution) by an Account Owner or its representatives directed at any Skolarli Edulabs Pvt. Ltd. customer, skolar.li employee, member, or officer will result in immediate account termination.
6. We reserve the right to provide our Services to your competitors and make no promise of exclusivity in any particular market segment. You further acknowledge and agree that Skolarli Edulabs Pvt. Ltd. employees and contractors may also be Skolarli customers/instructors and that they may compete with you, although they may not use your confidential information in doing so.
7. In the event of a dispute regarding account ownership, we reserve the right to request documentation to determine or confirm account ownership. Documentation may include, but is not limited to, a scanned copy of your business license, government-issued photo ID, the last four digits of the credit card on file, etc.
8. Skolarli Edulabs Pvt. Ltd. retains the right to determine, in our sole judgment, rightful account ownership and transfer an account to the rightful owner. If we are unable to reasonably determine the rightful Account Owner, we reserve the right to temporarily disable an account until resolution has been determined between the disputing parties.

Service Level Agreement

1. Service Availability. Skolarli commits to a monthly uptime of 99.5% for the skolar.li platform ("Uptime Commitment"). Uptime is calculated as: ((Total Minutes in Month − Downtime Minutes) / Total Minutes in Month) × 100. "Downtime" means the skolar.li platform is materially unavailable to all users, excluding Scheduled Maintenance and Exclusions defined below.
2. Scheduled Maintenance. Skolarli may perform scheduled maintenance to improve, update, or secure the platform. We will provide at least 48 hours advance notice via email or in-app notification for planned maintenance and schedule maintenance during low-usage hours (typically between 12:00 AM – 6:00 AM IST) whenever possible. Scheduled maintenance does not count toward Downtime.
3. Support Response Times. Support is available via email at [email protected]. Response times during business hours (Monday–Friday, 9:00 AM – 6:00 PM IST, excluding Indian public holidays) are as follows:
   • Critical (Platform completely unavailable; no workaround): Within 4 hours
   • High (Major feature unavailable; significant business impact): Within 8 hours
   • Medium (Feature partially impaired; workaround available): Within 24 hours
   • Low (General questions, minor issues, feature requests): Within 48 hours
4. Incident Communication. In the event of unplanned downtime or service degradation, Skolarli will acknowledge the incident within 1 hour of detection, provide status updates at least every 2 hours during ongoing incidents, and publish a post-incident summary within 72 hours of resolution for Critical incidents.
5. Recovery Objectives. Our Recovery Time Objective (RTO) is 2 hours and our Recovery Point Objective (RPO) is 24 hours. These targets represent our goal for restoring service and data in the event of a significant incident.
6. Service Credits. If Skolarli fails to meet the Uptime Commitment in any calendar month, eligible paying customers may request service credits as follows:
7. SLA Exclusions. The Uptime Commitment does not apply to: scheduled maintenance with advance notice; force majeure events (natural disasters, war, government actions, etc.); issues caused by customer's equipment, software, or network; third-party services or integrations not controlled by Skolarli; suspension of service due to customer's breach of Terms of Service or non-payment; beta or free trial accounts; DNS issues outside Skolarli's control; or distributed denial-of-service (DDoS) attacks or other malicious activities.

Liability Limitation

1. You understand and agree that Skolarli Edulabs Pvt. Ltd. shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profit, goodwill, use, data, or other intangible damages resulting from the use or inability to use the Service.
2. In no event shall Skolarli Edulabs Pvt. Ltd. or our suppliers be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with our website, our services, or this Agreement (from any cause, including negligence). You agree to indemnify and hold us and (if any) Skolarli Edulabs Pvt. Ltd.'s subsidiaries, affiliates, partners, officers, directors, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, incurred by a third party as a result of or arising from your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
3. Your use of the Service is at your own risk. Services are provided on an "as is" and "subject to availability" basis without any warranties or conditions, express, implied, or statutory.
4. Skolarli Edulabs Pvt. Ltd. does not warrant that the Service will be uninterrupted, timely, or error-free. However, we commit to the service levels described in our Service Level Agreement section above.
5. Skolarli Edulabs Pvt. Ltd. does not warrant that the results obtained from the use of our Services or AI tools will be accurate or completely reliable.
6. Skolarli Edulabs Pvt. Ltd. does not warrant that the quality of any product, service, information, or other items you purchase or obtain through the Service will meet your expectations, or that any errors in the Service will be corrected.
7. In all cases, the aggregate liability of Skolarli Edulabs Pvt. Ltd. for all claims of any nature, including claims arising out of or in connection with this Agreement, whether by statute, contract, tort, or any other theory of liability, shall not exceed the greater of: (a) the fees you paid for the Skolarli Edulabs Pvt. Ltd. services for the period of twelve (12) months immediately preceding the date on which the cause of action occurred, or (b) INR 10,000.

Intellectual Property And Content

1. We do not claim any intellectual property rights in the material you provide to the Skolarli Services, including the Content. All material you upload remains yours. You may delete your Skolarli site at any time by deleting your account; we will delete your Content in accordance with our Privacy Policy.
2. You retain ownership of all content you submit to the skolar.li website. You are responsible for ensuring your content complies with applicable law or regulation.
3. By uploading Content, you agree to: (a) grant Skolarli Edulabs Pvt. Ltd. a non-exclusive, worldwide, royalty-free license to display, store, and process your Content solely for the purpose of providing the Services; (b) allow Users authorized by you to view your Content; and (c) permit Skolarli Edulabs Pvt. Ltd. to review Content as necessary to ensure compliance with these Terms.
4. You acknowledge that, to ensure compliance with our legal obligations, we may review certain content submitted to the Service to determine if it is illegal or in violation of these Terms of Service. We may also block access to or refuse to display content that we reasonably believe violates the law or these Terms of Use. Skolarli Edulabs Pvt. Ltd. has no obligation to monitor or review any content submitted by you or any other person to the Service.
5. Any ideas, suggestions, concepts, processes, techniques, questions, answers, code/scripts, and other feedback relating to the Service, website, service offering, documentation, or our business ("Feedback") that you provide to Skolarli Edulabs Pvt. Ltd. may be used by us without any obligation to compensate you, and you waive any claims you may have regarding compensation for providing Feedback.
6. You hereby grant Skolarli Edulabs Pvt. Ltd. a non-exclusive right to use your trade name, trademark, service mark, trade dress, and logo to promote the Skolarli Edulabs Pvt. Ltd. services, unless you notify us in writing that you do not wish to be included in such promotional materials.
7. We will not disclose your confidential information to third parties except as required in the course of providing our services. "Confidential Information" includes any material or information that you provide to us that is not publicly known. Confidential Information does not include information that: (a) was in the public domain when we received it; (b) falls into the public domain after we receive it through no fault of ours; (c) we receive from someone other than you without violating our or their confidentiality obligations; (d) we are required by law to disclose; or (e) you have consented to or requested disclosure by us.
8. If you delete content, delete your account, or if these Terms of Service are terminated, we may retain a copy of your archives, confidential information, or any other information relating to your account (including content and personal information) if such retention is necessary to meet our legal and compliance obligations.

Payment And Fees

1. Subscription Fees. Fees for the Services are as specified in your Order Form or as displayed on the skolar.li website at the time of purchase. All fees are quoted in Indian Rupees (INR) unless otherwise specified and are exclusive of applicable taxes.
2. Payment Terms. Fees are due in advance for the subscription term selected. We accept payment via credit card, debit card, and other payment methods as displayed during checkout.
3. Late Payments. If payment is not received within seven (7) days of the due date, we may suspend access to the Services until payment is received. Accounts with payments overdue by more than thirty (30) days may be terminated.
4. Skolarli Akademy Programs. Skolarli, under the brand "Skolarli Akademy," periodically conducts paid workshops, masterclasses, webinars, and training programs with durations ranging from one hour to two years. These programs are non-refundable, cannot be transferred, and cannot be credited towards future sessions. Pricing for these programs begins at a minimum of INR 1,999/- (not inclusive of applicable taxes). Our marketing team reserves the right to offer discounts varying from 0% to 100%, based on ongoing promotional activities or campaigns.
5. Service Usage Limitations. Use of the Service may be limited by the criteria specified in your Order Form. Examples of limits include: the number of unique users that can access the skolar.li platform, the number of emails you can send in a month, the number of courses that can be managed, the number of students or instructors that may be added, the number of days after which visit data will be deleted, and the number of landing pages that can be archived.
6. Service Overuse. We reserve the right to monitor your use of the Services to determine whether use complies with the relevant Service Usage Limits. Any excessive use of the Service, if technically permitted, will be brought to your attention and may result in additional charges or suspension of the Services, or both.
7. Notification of Unauthorized Use. You are responsible for ensuring that the Services are used in accordance with these Terms of Service and will notify us immediately of any unauthorized use of your account or Users' usernames and passwords by sending an email to [email protected].

Service And Price Modification

1. Prices for using skolar.li are subject to change upon thirty (30) days notice from Skolarli Edulabs Pvt. Ltd. Such notice may be provided at any time by posting the changes to the skolar.li site (skolarli.com), via email, or through the administration menu of your skolar.li site.
2. Skolarli Edulabs Pvt. Ltd. reserves the right at any time to modify or discontinue the Services (or any part thereof) with thirty (30) days notice where commercially reasonable.
3. Skolarli Edulabs Pvt. Ltd. shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services, provided appropriate notice has been given.

Term, Renewal, Suspension And Termination

1. Term. This Agreement is effective from the date of registration on the website and will continue for the subscription term paid for. Service plans begin on the start date specified in the applicable Order Form (or, for online customers, the date of registration on the website) and continue for the subscription term specified therein.
2. Renewal. Unless a party gives written notice of non-renewal at least thirty (30) days prior to the expiration of the relevant Subscription Term, Service Plans will automatically renew for a period equal to the previous Subscription Term or one year (whichever is shorter). Skolarli Edulabs Pvt. Ltd. reserves the right to increase the Fees at the beginning of each Subscription Term with thirty (30) days prior notice.
3. Suspension. Skolarli Edulabs Pvt. Ltd. may suspend Customer's access to the Services, Software, Mobile Apps, and/or Customer's Account on the following grounds: (i) late payment or non-payment of undisputed Fees after seven (7) days notice; (ii) non-renewal of the Services by Customer; (iii) Customer's or its Users' breach of the Acceptable Use Policy or Terms of Use; or (iv) in the event suspension is deemed necessary by Skolarli Edulabs Pvt. Ltd. to prevent or address the introduction of malicious software, a security incident, or other harm to Customer, Skolarli, or Skolarli's other customers. Skolarli Edulabs Pvt. Ltd. will notify Customer of any such suspension and will use diligent efforts to limit, where commercially feasible, the suspension to affected Users or systems, and will restore availability as soon as the issues leading to the suspension are resolved.
4. Termination for Cause. Either party may terminate this Agreement by written notice to the other party in the event that (i) such other party materially breaches this Agreement and does not cure such breach within thirty (30) days of such notice, or (ii) immediately in the event the other party becomes the subject of a petition in bankruptcy or any other proceeding relating to insolvency, receivership, liquidation, or assignment for the benefit of creditors.
5. Termination for Convenience. You may terminate your account at any time by providing written notice to [email protected]. No refunds will be provided for any unused portion of the subscription term.
6. Free Trial Customers. Upon the expiration of Customer's free trial, Skolarli Edulabs Pvt. Ltd. may immediately suspend Customer's access to the Services. Customer must export Customer Data before the end of the free trial or Customer Data will be permanently deleted. Skolarli will have no obligation to maintain, store, or otherwise retain Customer Data beyond the end of the free trial period.
7. Data Export. Upon termination or expiration of this Agreement for any reason, Customer's access to the Services, Software, Mobile Apps, APIs, and other skolar.li technology will terminate. Skolarli Edulabs Pvt. Ltd. strongly recommends that Customer export all Customer Data before closing Customer's Account. Following termination or expiration of this Agreement, Customer may contact Skolarli Edulabs Pvt. Ltd. within seven (7) days following the effective date of termination to request export of Customer Data, provided Customer is current on payment obligations. Customer Data cannot be recovered once it is deleted.

Refund Policy

1. Skolarli Edulabs Pvt. Ltd. does not issue refunds for subscription fees. We urge you to make full use of the free trial account to test if skolar.li suits your business needs before purchasing a subscription.
2. Service credits issued under the Service Level Agreement are not refundable and may only be applied to future invoices.

Governing Law And Jurisdiction

1. This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.
3. You agree that any cause of action arising out of or related to the Services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Dispute Resolution

1. Informal Resolution. Prior to initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations for a period of thirty (30) days. Either party may initiate this process by sending written notice describing the dispute to the other party.
2. Mediation. If the dispute cannot be resolved through informal negotiations, either party may propose mediation. If both parties agree to mediation, they shall jointly select a mediator and share the costs of mediation equally.
3. Legal Proceedings. If the dispute remains unresolved after the informal resolution period and any agreed mediation, either party may pursue legal remedies in accordance with the Governing Law and Jurisdiction section above.

General Provisions

1. Entire Agreement. This Agreement, together with the Privacy Policy, any Order Forms, and any other documents incorporated by reference, constitutes the entire agreement between you and Skolarli Edulabs Pvt. Ltd. regarding the Services and supersedes all prior agreements and understandings.
2. Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
3. Waiver. The failure of Skolarli Edulabs Pvt. Ltd. to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
4. Assignment. You may not assign or transfer this Agreement or your rights under it without the prior written consent of Skolarli Edulabs Pvt. Ltd. Skolarli Edulabs Pvt. Ltd. may assign this Agreement without restriction.
5. Notices. All notices under this Agreement shall be in writing and shall be deemed given when sent by email to the address associated with your account (for notices to you) or to [email protected] (for notices to us).
6. Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
7. Modifications to Terms. Skolarli Edulabs Pvt. Ltd. reserves the right to update or modify these Terms of Service at any time. We will notify you of any material changes by posting the updated Terms on our website with a new "Last Updated" date and, for material changes, by sending an email to the address associated with your account. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms of Service.
